The terms governing access to and use of Aspire HIMS websites, web applications, patient and doctor mobile applications, APIs and related services.

01Introduction

Welcome to Aspire HIMS, a hospital information management platform provided by Vass Softwares and Solutions Pvt. Ltd. (“VASS”, “we”, “us”, or “our”).

These Terms & Conditions (“Terms”) govern your access to and use of Aspire HIMS websites, web applications, patient mobile applications, doctor mobile applications, APIs, and related services (collectively, the “Services”).

By accessing or using the Services, you acknowledge that you have read, understood and agreed to these Terms. If you do not agree with these Terms, you should not use the Services.

Aspire HIMS is a configurable healthcare technology platform designed to support hospitals, clinics, healthcare institutions, doctors, patients, administrators and other authorized users.

The Services may include, depending on the configuration selected by the Healthcare Customer:

  • Patient registration and management
  • Appointment management
  • OPD, IPD, Emergency and clinical workflows
  • Electronic medical records
  • Laboratory and diagnostic workflows
  • Pharmacy and inventory management
  • Billing and payment-related services
  • Doctor and patient mobile applications
  • Online consultations and video consultations
  • Chat and communication features
  • Notifications and messaging
  • Reports and analytics
  • AI-enabled documentation and workflow features
  • Integration with third-party healthcare and technology services

02Definitions

For these Terms:

“VASS” means Vass Softwares and Solutions Pvt. Ltd.

“Aspire HIMS” means the hospital information management software platform, applications, APIs and associated services provided by VASS.

“Healthcare Customer” means a hospital, clinic, healthcare institution, healthcare network or other organization that subscribes to, licenses or uses Aspire HIMS.

“User” means any authorized person accessing the Services, including patients, doctors, hospital employees, administrators and other authorized users.

“Patient Data” means information relating to a patient that is entered, generated, stored or processed through Aspire HIMS.

“Third-Party Services” means external services or platforms integrated with or used alongside Aspire HIMS, including payment gateways, authentication services, cloud infrastructure, communication services, notification services and other technology providers.

03Eligibility and Authorized Use

Aspire HIMS may only be used by individuals who are authorized by the applicable Healthcare Customer or who are otherwise permitted to access the relevant Services.

Users agree to:

  • Provide accurate information when required.
  • Use only their own authorized account.
  • Keep login credentials, OTPs and authentication information confidential.
  • Not share account credentials with unauthorized persons.
  • Not attempt to access information belonging to another user without authorization.
  • Use the Services only for lawful and legitimate purposes.
  • Follow the policies and procedures established by the relevant Healthcare Customer.

VASS may restrict or suspend access where it reasonably believes that an account is being misused, compromised or used in violation of these Terms or applicable law.

04Role of the Hospital or Healthcare Institution

Aspire HIMS is a technology platform and does not independently determine the healthcare services provided to patients.

The Healthcare Customer may determine:

  • What information is collected from patients.
  • How patient information is used.
  • Which doctors, employees or other personnel can access information.
  • How healthcare records are maintained.
  • Applicable retention requirements.
  • Hospital-specific policies and procedures.
  • Charges for healthcare services.
  • Cancellation, refund and appointment policies.

Where a particular healthcare service or patient record is controlled by a hospital or healthcare institution, the hospital or healthcare institution remains responsible for its healthcare services and applicable operational policies.

Users may therefore need to contact the relevant hospital directly for matters concerning medical records, appointments, treatment, refunds, billing disputes or healthcare services.

05Medical Services Disclaimer

VASS is a technology service provider and is not a hospital, clinic, doctor or healthcare professional merely by providing Aspire HIMS.

Aspire HIMS does not independently provide:

  • Medical diagnosis
  • Medical treatment
  • Prescriptions
  • Clinical advice
  • Emergency medical services
  • Medical opinions

Any diagnosis, prescription, treatment, consultation or clinical decision is the responsibility of the relevant healthcare professional and Healthcare Customer.

Patients should not rely on Aspire HIMS as a substitute for professional medical advice.

In case of a medical emergency, users should immediately contact the appropriate emergency medical service or healthcare facility.

06Doctor and Patient Accounts

Users are responsible for maintaining the security of their accounts.

Patients and doctors must:

  • Provide correct information.
  • Keep their mobile device and authentication credentials secure.
  • Not share OTPs with others.
  • Notify the relevant hospital or VASS support team if unauthorized access is suspected.
  • Use the application only for its intended purpose.

VASS is not responsible for unauthorized access resulting from a user's failure to protect their credentials, device or authentication information.

07Appointments and Healthcare Services

Where appointment booking is enabled, Aspire HIMS may allow patients to:

  • View available doctors.
  • Select consultation dates and times.
  • Book appointments.
  • Make applicable payments.
  • Receive appointment notifications.
  • View appointment status.

Appointment availability, consultation fees, cancellation policies, rescheduling policies and refund policies may be determined by the relevant Healthcare Customer.

VASS does not guarantee that a particular doctor, appointment slot or healthcare service will always be available.

08Online and Video Consultation

Where enabled, Aspire HIMS may provide online consultation and video communication functionality.

Users agree to:

  • Use the consultation facility only for legitimate healthcare purposes.
  • Use an authorized account.
  • Maintain appropriate privacy during consultations.
  • Not record, reproduce or distribute consultation content without appropriate authorization or consent.
  • Not misuse video, audio, chat or communication facilities.

The availability and quality of video consultation may depend on the user's device, internet connection, network conditions and third-party communication infrastructure.

VASS does not guarantee uninterrupted video or audio connectivity.

Recording or storage of consultations is not automatically implied merely because video consultation functionality is available. Any recording or storage will depend on the applicable configuration, consent requirements, Healthcare Customer instructions and applicable law.

09AI-Enabled Features

Aspire HIMS may provide AI-enabled functionality for purposes such as:

  • Voice-to-text documentation
  • Clinical documentation assistance
  • Workflow assistance
  • Summarization
  • Analytics
  • Alerts
  • Administrative assistance
  • Other configured healthcare workflows

AI-generated information may contain errors, omissions or inaccuracies.

AI outputs are intended to assist authorized users and must be reviewed and validated by an appropriately qualified healthcare professional before being relied upon for clinical decisions.

VASS does not guarantee that AI-generated information will always be accurate, complete or suitable for a particular clinical situation.

10Payments and Wallet Services

Where payment or wallet functionality is enabled, transactions may be processed through applicable third-party payment service providers.

Aspire HIMS may facilitate:

  • Appointment payments
  • Consultation payments
  • Wallet recharge
  • Service payments
  • Transaction history
  • Payment status information

Payment processing may be subject to the terms and conditions of the applicable payment gateway or financial service provider.

VASS does not directly control the banking networks, payment gateways or financial institutions involved in a transaction.

Users are responsible for providing accurate payment information and following the applicable payment provider's terms.

Refunds, cancellations and payment reversals may be subject to the policies of the relevant Healthcare Customer and/or payment service provider.

11Communication and Notifications

Aspire HIMS may provide notifications through mechanisms such as:

  • Push notifications
  • SMS
  • Email
  • WhatsApp
  • In-app notifications
  • Chat
  • Other configured communication channels

Communication services may depend on third-party providers and network availability.

VASS does not guarantee that every notification will be delivered immediately or successfully.

Users are responsible for ensuring that their registered contact information is accurate and accessible.

12Third-Party Services

Aspire HIMS may integrate with or use third-party services for:

  • Cloud infrastructure
  • Authentication and OTP
  • Push notifications
  • Video and communication services
  • Payment processing
  • Email and SMS
  • WhatsApp
  • Analytics
  • Security
  • Healthcare interoperability
  • Other technology services

Examples may include Firebase/Google services, Twilio and payment gateway providers, depending on the Healthcare Customer's configuration.

Third-party services are governed by their respective terms and privacy policies.

VASS does not control the independent operation, availability or privacy practices of third-party providers.

13User Responsibilities

Users must not:

  • Attempt to gain unauthorized access to Aspire HIMS.
  • Access another person's medical records without authorization.
  • Copy, reproduce or distribute the Services without permission.
  • Reverse engineer or decompile the software except where expressly permitted by applicable law.
  • Introduce malware, viruses or other harmful code.
  • Interfere with the operation or security of the Services.
  • Use the Services for fraudulent or unlawful activities.
  • Upload content that violates applicable laws or third-party rights.
  • Use another person's account or credentials.
  • Circumvent security or access controls.

VASS reserves the right to restrict access and take appropriate action where misuse is identified.

14Patient Records and Healthcare Information

Patient and healthcare information may be entered, generated and maintained through Aspire HIMS.

Users acknowledge that healthcare records may be subject to:

  • Hospital policies
  • Applicable healthcare regulations
  • Legal retention requirements
  • Access controls
  • Professional requirements
  • Applicable privacy laws

Requests relating to correction, access, deletion or other actions concerning a specific hospital's patient record may need to be directed to the relevant Healthcare Customer.

15Intellectual Property

Aspire HIMS, including its software, source code, architecture, user interface, designs, trademarks, logos, documentation, workflows and related technology, is owned by or licensed to VASS and is protected by applicable intellectual property laws.

Except as expressly permitted under a written agreement, users may not:

  • Copy the software.
  • Reproduce the user interface.
  • Modify or create derivative works.
  • Sell, sublicense or redistribute the software.
  • Reverse engineer the platform.
  • Remove proprietary notices.
  • Use VASS trademarks or branding without written permission.

Healthcare Customers receive only the rights expressly granted under their applicable commercial agreement or license.

16Healthcare Customer Content

The Healthcare Customer and its authorized users remain responsible for information, documents, medical records, reports and other content entered into Aspire HIMS.

The Healthcare Customer is responsible for ensuring that:

  • Appropriate authorization exists to collect and process information.
  • Information entered into the system is accurate to the extent required.
  • Users have appropriate access permissions.
  • Applicable legal and regulatory requirements are followed.
  • Patient consent is obtained where required.

VASS may process such information to provide Aspire HIMS and related services in accordance with the applicable agreement and Privacy Policy.

17Service Availability

VASS makes reasonable efforts to maintain the availability, security and reliability of Aspire HIMS.

However, the Services may occasionally become unavailable due to:

  • Scheduled maintenance
  • Software updates
  • Infrastructure issues
  • Internet or network failures
  • Third-party service failures
  • Cybersecurity incidents
  • Force majeure events
  • Other circumstances beyond VASS's reasonable control

VASS does not guarantee uninterrupted or error-free operation of the Services at all times.

18Cloud and On-Premises Deployment

Aspire HIMS may be deployed in cloud or on-premises environments.

For cloud deployments, infrastructure and hosting arrangements will be determined according to the applicable commercial and technical agreement.

For on-premises deployments, the Healthcare Customer may control the server, physical infrastructure, network and local security environment.

Responsibilities for backups, infrastructure, network security, operating systems and other technical components may therefore vary according to the deployment model and contractual arrangement.

19Data Backup

Where backup services are provided as part of the applicable deployment or service arrangement, VASS will perform backups according to the agreed technical configuration.

Healthcare Customers remain responsible for maintaining appropriate infrastructure, access and backup arrangements where such responsibilities are assigned to them under the applicable agreement.

Users should not assume that information can always be recovered after accidental deletion, infrastructure failure or other events unless an applicable backup arrangement exists.

20Suspension or Termination

VASS or the relevant Healthcare Customer may restrict, suspend or terminate access to the Services in accordance with the applicable agreement or where reasonably necessary due to:

  • Violation of these Terms
  • Unauthorized access
  • Security risks
  • Fraudulent activity
  • Non-payment
  • Misuse of the Services
  • Legal or regulatory requirements

Termination or suspension will not automatically remove legal or contractual obligations that are intended to survive termination.

21Limitation of Liability

To the maximum extent permitted by applicable law, VASS will not be responsible for indirect, incidental, special, consequential or punitive losses arising from the use or inability to use the Services.

VASS is not responsible for losses caused by circumstances outside its reasonable control, including:

  • Internet or network failures
  • Third-party service interruptions
  • Payment gateway failures
  • Unauthorized access caused by compromised user credentials
  • Incorrect information entered by users
  • Healthcare decisions made by doctors or Healthcare Customers
  • Misuse of the Services
  • Device or operating-system failures

Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited under applicable law.

22Indemnification

To the extent permitted by applicable law, a User or Healthcare Customer may be responsible for losses, claims, liabilities or expenses arising from:

  • Their violation of these Terms.
  • Unauthorized use of the Services.
  • Violation of applicable law.
  • Violation of third-party rights.
  • Unauthorized disclosure or misuse of information.
  • Content or information submitted by them.

Specific indemnification obligations may also be governed by the applicable commercial agreement between VASS and the Healthcare Customer.

23Privacy

Use of Aspire HIMS is also subject to our Privacy Policy, which explains how personal information and healthcare-related information may be collected, used, stored, disclosed and protected.

The Privacy Policy should be read together with these Terms.

Healthcare Customers may also publish their own hospital-specific privacy notices or policies.

24Changes to the Services

VASS may modify, improve, update or discontinue features of Aspire HIMS from time to time.

Changes may include:

  • New features
  • Security improvements
  • User-interface changes
  • Performance improvements
  • Changes to integrations
  • Removal or modification of obsolete features
  • Changes required by law or technology

For Healthcare Customers, material changes may also be governed by the applicable commercial agreement.

25Changes to These Terms

VASS may update these Terms from time to time to reflect changes in:

  • The Services
  • Technology
  • Applicable laws
  • Security requirements
  • Business practices

The latest version will be published on the Aspire HIMS website with a revised “Last Updated” date.

Continued use of the Services after the updated Terms become effective may constitute acceptance of the revised Terms, to the extent permitted by applicable law.

26Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the applicable laws of India.

Subject to any applicable contractual dispute-resolution provisions, disputes relating to these Terms or the Services shall be subject to the jurisdiction of the appropriate courts in Chennai, Tamil Nadu, India.

For Healthcare Customers, the applicable commercial agreement may contain additional dispute-resolution, arbitration or jurisdiction provisions.

27Severability

If any provision of these Terms is determined to be invalid, unlawful or unenforceable, that provision will be interpreted or modified to the extent necessary to make it enforceable, while the remaining provisions will continue to remain in effect.

28Entire Agreement

These Terms, together with the applicable Privacy Policy, commercial agreement, service agreement, license agreement and other applicable policies or documents, constitute the applicable understanding governing use of the Services.

Where a written agreement with a Healthcare Customer contains terms that specifically address a particular matter, that agreement will govern that matter to the extent of any conflict.
